Welcome to Vyzion Digital Marketing (“Vyzion”). By engaging our services, you (“Client”) agree to abide by these Terms and Conditions, which are legally binding. Please read them carefully before proceeding.

1. Definitions

1.1 “Agreement” refers to this document and any accompanying proposal, quotation, or contract. 1.2 “Services” means the digital marketing services provided by Vyzion, including but not limited to social media management, SEO, paid advertising, content creation, and web design. 1.3 “Parties” refer to both Vyzion and the Client. 1.4 “Confidential Information” means any non-public information disclosed between the Parties, including business strategies, financials, and marketing plans.

2. Scope of Services

​

2.1 Vyzion agrees to provide the Services as outlined in the proposal or contract. 2.2 Any modifications or additions to the agreed Services must be confirmed in writing and may incur additional charges.

3. Fees and Payment

​

3.1 Fees for Services are outlined in the proposal or contract. 3.2 Payment terms are as follows:

• A 50% upfront deposit is required before commencement of Services.

• The remaining balance is due within 7 days of the invoice date unless otherwise agreed. 3.3 Late payments will incur interest at a rate of [Insert Percentage]% per month. 3.4 All payments must be made in South African Rand (ZAR). 3.5 Vyzion reserves the right to pause or terminate Services for non-payment.

4. Client Responsibilities

4.1 The Client must provide Vyzion with all necessary materials, information, and access required to perform the Services. 4.2 The Client warrants that all content provided to Vyzion complies with applicable laws and does not infringe on third-party rights. 4.3 The Client is responsible for reviewing and approving all content and campaigns before publication.

5. Confidentiality

​

5.1 Both Parties agree to maintain the confidentiality of all Confidential Information disclosed during the term of this Agreement. 5.2 Confidential Information shall not be disclosed to any third party without prior written consent, except as required by law.

6. Intellectual Property

​

6.1 All materials created by Vyzion, including but not limited to designs, content, and strategies, remain the intellectual property of Vyzion until full payment is received. 6.2 Upon full payment, intellectual property rights for approved deliverables transfer to the Client. 6.3 Vyzion reserves the right to showcase completed projects in its portfolio.

7. Warranties and Disclaimers

​

7.1 Vyzion will use reasonable efforts to achieve the agreed objectives but does not guarantee specific results, such as increased sales or followers. 7.2 Vyzion is not responsible for issues arising from:

• Changes to third-party platforms (e.g., Facebook, Google).

• Delays caused by the Client’s failure to provide required materials or approvals.

8. Liability

​

8.1 Vyzion’s liability is limited to the fees paid by the Client for the specific Service in question. 8.2 Vyzion shall not be liable for:

• Loss of profits, revenue, or data.

• Any indirect or consequential damages. 8.3 The Client indemnifies Vyzion against any claims arising from the use of Client-provided materials or breach of these Terms.

9. Termination

​

9.1 Either Party may terminate this Agreement with 30 days’ written notice. 9.2 Vyzion may terminate immediately if the Client breaches any provision of this Agreement or engages in unlawful activities. 9.3 Upon termination:

• All outstanding fees become payable.

• Vyzion will return or destroy all Client materials upon request.

10. Force Majeure

​

10.1 Neither Party shall be liable for delays or failure to perform due to circumstances beyond their reasonable control, including natural disasters, strikes, or changes in law.

11. Governing Law and Dispute Resolution

​

11.1 This Agreement is governed by the laws of the Republic of South Africa. 11.2 Any disputes shall first be resolved through negotiation. If unresolved, the Parties agree to mediation before pursuing legal action.

12. Data Protection

​

12.1 Vyzion complies with the Protection of Personal Information Act (POPIA). 12.2 The Client consents to Vyzion processing personal data as necessary for the performance of Services. 12.3 Vyzion will not share Client data with third parties without consent, except as required by law.

13. Amendments

​

13.1 Vyzion reserves the right to update these Terms and Conditions. The Client will be notified of any significant changes.

14. Entire Agreement

​

14.1 This Agreement constitutes the entire understanding between the Parties and supersedes all prior agreements.
